Terms and Conditions

These Terms & Conditions (“Terms”) govern all quotations, orders, products, and services provided by AAA Packaging Solutions Inc. (“AAA Packaging,” “Company,” “we,” “us,” or “our”). By requesting a quotation, submitting artwork, placing an order, approving proofs, or purchasing any products or services, you (“Customer,” “you”) agree to be bound by these Terms

These Terms apply together with any signed Order Confirmation & Production Agreement and any Change Orders, all of which shall be read and interpreted together as a single binding agreement.

1. Scope of Services

AAA Packaging provides custom packaging solutions including, but not limited to, folding cartons, rigid boxes, corrugated packaging, flexible packaging, labels, displays, and related services. All products are manufactured to Customer specifications and are custom-made with no resale value.

2. Quotations & Pricing

All quotations are based on estimated specifications, quantities, and prevailing market conditions at the time issued. Prices may change due to fluctuations in raw materials, labor, energy, freight rates, exchange rates, tariffs, regulatory changes, or other market conditions.

Any additional services or changes requested after quotation acceptance may result in revised pricing.

3. Orders & Acceptance

An order is deemed accepted once pricing and specifications are confirmed, artwork is approved in writing, and any required deposit or payment is received. Once production, tooling, artwork preparation, sampling, or pre-production setup has commenced, orders may not be cancelled except as expressly permitted under these Terms.

4. Artwork, Proofs & Approvals

The Customer is solely responsible for the accuracy of all artwork, designs, text, dimensions, colors, barcodes, and specifications submitted or approved. Approval of artwork constitutes confirmation that all details have been fully reviewed and accepted.

AAA Packaging is not responsible for errors, omissions, or defects resulting from Customer-approved artwork, including spelling errors, layout issues, sizing discrepancies, color expectations, or barcode functionality.

5. Color Proofing and Color Matching

Screen proofs, digital proofs, and electronic previews are provided for layout, text accuracy, image proportion, and placement only. They do not represent final color, ink density, or material appearance. AAA Packaging does not guarantee exact color matching or ink density based on screen or digital proofs. Variations may occur due to display settings, lighting, substrates, coatings, print methods, and production equipment. Digital samples or prototypes may vary from final production due to differences in printing technology and manufacturing processes. Such variations are normal and acceptable within industry standards. For projects with strict color requirements, Customers are encouraged to request production-grade samples and specify PMS or standardized color systems. If sampling is waived, the Customer accepts any resulting color or finish variations

6. Order Shipping and Delivery

All production timelines, shipping dates, and delivery dates are estimates only and are not guaranteed. Delays may occur due to factors beyond our control, including material availability, manufacturing capacity, customs clearance, port congestion, carrier schedules, weather conditions, or acts of God. All shipments are handled by independent third-party carriers or logistics providers. AAA Packaging is not the carrier and assumes no responsibility for transit performance. We shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from production or delivery delays, including lost profits or business interruption. Delays do not constitute grounds for order cancellation, refunds, or chargebacks. Where applicable, AAA Packaging may, at its sole discretion, waive or adjust expedited or rush charges as the Customer’s sole remedy. AAA Packaging assumes no monetary liability for loss, damage, or delay during transit. We will reasonably assist with carrier claims; however, all compensation remains the responsibility of the carrier. The Customer is solely responsible for all shipping charges, customs clearance fees, duties, taxes, inspections, demurrage, storage, and related costs. Shipping costs are estimates and may be adjusted prior to shipment to reflect actual conditions. Additional charges may apply for special delivery requirements, including lack of loading dock access, forklift availability, or delivery appointment requirements. The Customer is responsible for providing accurate and complete shipping and customs information.

7. Inspection, Returns, Refunds & Cancellations

Due to the fully customized and made-to-order nature of our products, all sales are final. Products may not be returned except for a confirmed manufacturing defect directly attributable to AAA Packaging. Inspection and Notification The Customer must inspect goods immediately upon delivery. Visible shipping damage or shortages must be reported within three (3) days of delivery. Manufacturing defects must be reported in writing within seven (7) days of receipt. Supporting documentation, including photographs or videos, must be provided upon request. Failure to provide timely notice constitutes acceptance of the goods. AAA Packaging reserves the right to determine whether a defect exists and the appropriate remedy. Refunds and Cancellations If any work has commenced following order acceptance, any approved refund shall be reduced by incurred costs and applicable processing fees. If no work has commenced, refunds may be issued at our discretion, less applicable fees.No refunds will be issued if the Customer fails to respond in writing within thirty (30) days of our last outreach regarding a claim. Returns and Replacements Approved returns must include 100% of delivered goods, unused and in original condition, returned at the Customer’s expense. No remedy will be issued until returned goods are received and inspected. All shipping, return freight, customs, and re-shipment costs are non-refundable. Any replacement, refund, or credit constitutes the Customer’s sole and exclusive remedy.

8. Defective Products and Acceptable Variations

Products are considered defective only if a manufacturing or printing defect is directly caused by AAA Packaging. The following are acceptable industry variations and not defects: Minor cracking or fiber breakage along creases Minor cracking in non-laminated or uncoated stock Damage caused by shipping, handling, or storage Specification variations within ±2.5% Color, density, or finish variations between proofs, samples, and final production

9. Overruns and Underruns

AAA Packaging reserves the right to deliver quantities within ±8% of the ordered quantity. Delivery within this range constitutes fulfillment of the order. Customers requiring an exact minimum quantity should order additional units accordingly.

10. Customer Content and Intellectual Property

Customers may submit artwork, designs, text, graphics, photographs, trademarks, logos, and other materials (“Customer Content”). The Customer represents and warrants that they own or have the legal right to use all Customer Content submitted. The Customer remains solely responsible for all Customer Content. By submitting Customer Content, the Customer grants AAA Packaging a non-exclusive, royalty-free, limited license to use such content solely for fulfilling the Customer’s order. Finished products may be displayed for portfolio or marketing purposes unless the Customer requests otherwise in writing prior to production. The Customer agrees to indemnify and hold harmless AAA Packaging and its affiliates from any claims arising from Customer Content, including intellectual property infringement. Customers may not submit unlawful, infringing, defamatory, obscene, or malicious content

11. Payment Terms

Payment is due strictly in accordance with the payment terms agreed in the applicable quotation, Order Confirmation & Production Agreement, invoice, or Change Order. Where payment terms specify a number of days, the outstanding balance shall be due within the agreed number of days from the invoice date. The Customer is responsible for ensuring that all payments are made in full on or before the applicable due date, without deduction, set-off, or delay. Production, shipment, or delivery timelines may be adjusted if required payments are not received and cleared in accordance with the agreed payment terms. Late Payment Charges and Collections Invoices not paid by the due date may be subject to late payment charges as follows: 16–30 days past due: 2% of the outstanding balance 31–60 days past due: 5% of the outstanding balance 90 days or more past due: account may be referred to a collection agency The Customer shall be responsible, to the extent permitted by law, for all late payment charges, collection fees, legal fees, and any costs incurred in recovering outstanding amounts. AAA Packaging reserves the right to suspend production, delay shipment, withhold services, or place the Customer’s account on hold until payment is made in full.

12. Change Orders

Any changes requested after order acceptance, including artwork revisions, quantity changes, shipping method changes, pricing adjustments, or timeline changes, must be approved in writing and may impact pricing and delivery estimates.

13. Chargebacks & Payment Disputes

Customers agree not to initiate chargebacks or payment disputes without first providing AAA Packaging a reasonable opportunity to review and resolve the matter. Unauthorized chargebacks may constitute a material breach.

14. Limitation of Liability

AAA Packaging’s total liability arising from any order shall not exceed the amount paid for the affected products. We shall not be liable for indirect, incidental, or consequential damages.

15. Force Majeure

AAA Packaging shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disruptions, supply chain interruptions, or governmental actions.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

17. Entire Agreement

These Terms, together with any signed Order Confirmation & Production Agreement and Change Orders, constitute the entire agreement between the parties.

18. Contact Information and Shipping Address Changes

The Customer is responsible for providing and maintaining accurate and up-to-date contact information, including legal name, email address, phone number, and shipping address. AAA Packaging Solutions Inc. shall have no liability for any errors, delays, losses, or damages arising from the Customer’s failure to provide accurate or updated information. Changes to contact details or shipping addresses after order acceptance or during the production process may result in delays and may be subject to additional charges

19. Use of the Website

All materials and content on this Website are provided for informational purposes only and are the property of AAA Packaging Solutions Inc. or its licensors. Except as expressly permitted, any copying, reproduction, distribution, modification, republication, reverse engineering, sale, or exploitation of this Website or its content for commercial purposes without prior written consent is strictly prohibited. AAA Packaging Solutions Inc. reserves the right to suspend or terminate access to the Website or Services, without notice, where unauthorized use is identified.

20. Trademarks and Copyright

“AAA Packaging Solutions Inc.” and related names, logos, and branding are trademarks or trade names of AAA Packaging Solutions Inc. in Canada and other jurisdictions. Nothing in these Terms grants any license or right to use any trademark, trade name, logo, or other intellectual property of AAA Packaging Solutions Inc. or any third party without prior written consent. All Website content, including text, graphics, layout, and design, is protected by copyright and other intellectual property laws. Unauthorized use is strictly prohibited.

21. Third-Party Links

This Website may contain links to third-party websites provided for convenience only. AAA Packaging Solutions Inc. does not endorse, control, or assume responsibility for the content, accuracy, or practices of any third-party websites. Access to third-party websites is at the Customer’s own risk.

22. Acceptable Use

The Customer agrees to use this Website and any related Services only for lawful purposes and in compliance with applicable local, national, and international laws and regulations. The Customer shall not use the Website or Services in any manner that infringes intellectual property rights, is defamatory, abusive, discriminatory, unlawful, malicious, or otherwise harmful. Access to the Website or Services is unauthorized in any jurisdiction where these Terms would be unenforceable or where access would be illegal.

23. Indemnification

The Customer agrees to defend, indemnify, and hold harmless AAA Packaging Solutions Inc., its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to: the Customer’s use of the Website or Services Customer Content breach of these Terms negligence or misconduct by the Customer AAA Packaging Solutions Inc. reserves the right to participate in the defense of any such claim with counsel of its choosing.

24. Disclaimers

The Website and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, AAA Packaging Solutions Inc. disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AAA Packaging Solutions Inc. does not warrant that the Website or Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. The Customer assumes all risk arising from use of the Website, Services, or reliance on any information provided.

25. Limitation of Liability (Website Use)

To the maximum extent permitted by law, AAA Packaging Solutions Inc. shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of this Website or the Services. This section applies in addition to, and does not limit, the Limitation of Liability provisions applicable to product orders set out elsewhere in these Terms.

26. Dispute Resolution

Except where prohibited by law, the parties agree to first attempt to resolve any dispute arising out of or relating to these Terms, the Website, or the Services through good-faith written negotiations. A written notice describing the dispute shall be provided, and the receiving party shall have thirty (30) days to respond before legal proceedings are initiated. This dispute resolution process is a condition precedent to commencing any legal action, to the extent permitted by law.

27. General Provisions

These Terms, together with the Privacy Policy and any applicable Order Confirmation & Production Agreement or Change Orders, constitute the entire agreement between the parties. If any provision is held to be unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.

28. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. The parties irrevocably submit to the exclusive jurisdiction of the courts located in Ontario for any dispute arising out of or relating to these Terms, the Website, or the Services.
